The official manager of an unincorporated company, which was being wound up, instituted a suit (with the sanction of the Master having charge of the winding up), against certain members of the company, to compel them to make good monies of the company which, it was alleged, they had misapplied. Held, that the 50th section of the Winding-up Act of 1848 applied to unincorporated as well as to incorporated companies; that it empowered the official manager to commence and prosecute such proceedings only as might have been commenced and prosecuted by or on behalf of the company; that the suit instituted by the official manager, being on behalf of some only, and not of all of the members of the company, was not such a suit as could have been commenced or prosecuted by, or on behalf of the company, and therefore did not come within the terms of the 50th section, and the Court dismissed the bill; but the objection not having been taken by demurrer, dismissed it without costs.
